Terms of Service

1. Agreement to Terms

By accessing or using Luminar Forge ("the Service"), operated by Luminar Works ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.

2. Description of Service

Luminar Forge is an AI-powered content management platform that provides content calendar management, AI writing pipeline, image composition, SEO tools, brand voice analysis, and team collaboration features. The Service is offered on a subscription basis through four tiers: Starter, Pro, Agency, and Enterprise.

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Be at least 18 years of age
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorised use of your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscription and Billing

The Service is billed on a monthly or annual subscription basis through Paddle, our Merchant of Record. Paddle handles all payment processing, invoicing, tax collection, and compliance on our behalf.

  • All plans include a 14-day free trial period
  • Subscriptions auto-renew unless cancelled before the renewal date
  • Prices are listed in USD and may vary by region due to local taxes
  • Refunds are handled in accordance with Paddle's refund policy
  • We reserve the right to change pricing with 30 days' written notice

5. Usage Limits

Each subscription tier includes specific limits on content generations, image generations, storage, team members, and workspaces. Exceeding these limits may result in temporary restriction of certain features until the next billing cycle or an upgrade to a higher tier.

6. Acceptable Use

You agree not to use the Service to:

  • Generate content that is illegal, harmful, threatening, abusive, or defamatory
  • Violate intellectual property rights of third parties
  • Distribute malware, spam, or engage in phishing
  • Attempt to access other users' accounts or data
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated means to access the Service beyond the provided API
  • Resell or redistribute the Service without written authorisation

7. Intellectual Property

Your content: You retain all ownership rights to content you create or upload to the Service. You grant us a limited licence to store, process, and display your content solely for the purpose of providing the Service.

AI-generated content: Content generated by the AI pipeline is your property once generated within your account. We make no claim of ownership over AI-generated outputs.

Our platform: The Service, its design, features, code, and documentation are our intellectual property and are protected by copyright and other laws.

8. Data Handling

Your use of the Service is also governed by our Privacy Policy. We implement industry-standard security measures including encryption at rest and in transit, row-level security for tenant data isolation, and regular security audits.

9. API Keys and Third-Party Services

Enterprise customers may provide their own API keys for AI services ("BYO API Key"). API keys are encrypted using AES-256-GCM at rest and are only decrypted in memory at request time. You are responsible for maintaining and securing your own API keys and for any costs incurred through their use.

10. Service Availability

We aim to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by factors beyond our reasonable control.

11. Limitation of Liability

To the maximum extent permitted by law, Luminar Works shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these terms or the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

12. Termination

You may cancel your subscription at any time through the billing settings. We may suspend or terminate your account for violation of these terms with reasonable notice. Upon termination, you may request export of your data within 30 days (see our Privacy Policy).

13. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email to the account owner at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by the laws of South Africa. Any disputes shall be resolved in the courts of Gauteng, South Africa.
